Terms of Service

1. Acceptance
By accessing or using OnPoint (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service.
2. Description of Service
OnPoint is a knowledge management platform that allows authorized users to capture, organize, and retrieve information within a controlled-access environment. Access is granted by invitation or administrator approval only.
3. Accounts and Access
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or that pose a security risk to the Service or other users.
4. Acceptable Use
You may not use the Service to: (a) violate any applicable law or regulation; (b) upload, transmit, or distribute malicious code or content; (c) interfere with the integrity or availability of the Service; (d) attempt to gain unauthorized access to any part of the Service or its underlying infrastructure; (e) scrape, crawl, or otherwise extract data from the Service by automated means without prior written consent.
5. Content and Data
You retain ownership of all content you submit to the Service. By submitting content, you grant us a limited license to process and store that content solely to provide the Service. You represent that you have all necessary rights to submit your content and that doing so does not violate any third-party rights.
6. Intellectual Property
All rights in the Service, including software, design, and documentation, belong to OnPoint or its licensors. Nothing in these Terms grants you any ownership interest in the Service. Feedback you provide about the Service may be used by us without restriction or compensation.
7. Confidentiality
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
8. SMS Messaging Program
Program name: OnPoint Account Authentication. Description: OnPoint sends one-time verification codes by SMS to users who have enrolled a mobile phone number as a multi-factor authentication factor. Messages are transactional and security-related only. We do not send marketing or promotional SMS. Opt-in: Users enroll a phone number by signing in to OnPoint, navigating to Settings > Security, and submitting their mobile number. A verification code is sent to confirm the number, and enrollment is completed only after the user enters that code. Message frequency: Variable. Messages are sent only when the user initiates a sign-in or MFA enrollment action. Typical usage is fewer than five messages per month per enrolled user. Message and data rates: Standard carrier message and data rates may apply. Opt-out: Reply STOP to any message to opt out and disable SMS verification for your account. You may also remove the factor at any time from Settings > Security. Help: Reply HELP to any message for assistance, or contact support@ontel.co. Carriers are not liable for delayed or undelivered messages.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.
10. Limitation of Liability
To the fullest extent permitted by law, OnPoint and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claims arising under these Terms will not exceed the greater of the amounts paid by you in the twelve months preceding the claim or one hundred US dollars.
11. Indemnification
You agree to indemnify and hold harmless OnPoint and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your infringement of any third-party rights.
12. Term and Termination
These Terms remain in effect while you use the Service. We may suspend or terminate your access at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, and limitations of liability.
13. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a new effective date. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms will be resolved exclusively in the state or federal courts located in Delaware.
